SERVICE AGREEMENT & TERMS

The following terms form a legally binding agreement between Spade House (“the Agency”) and the client (“the Client”) upon acceptance of this proposal.

1. Scope of Work

The Agency agrees to provide video production services as described in the relevant proposal or booking confirmation, specifically for the package selected by the Client. Any work outside the agreed scope will be quoted and agreed in writing before proceeding.

2. Payment Terms

A non-refundable booking fee is required in full at the time of booking to secure your date. No deposit option is available — full payment is required upfront to confirm the engagement. At the Agency’s sole discretion, alternative payment arrangements may be considered for certain projects of significant scope. Any such arrangement must be agreed in writing prior to commencement.

3. Intellectual Property & Usage Rights

Upon receipt of full payment, the Client is granted a non-exclusive, perpetual licence to use the final delivered content for digital and social media purposes. The Agency retains the right to use produced content in its portfolio and marketing materials unless the Client requests otherwise in writing prior to the shoot.

Raw footage remains the property of Spade House unless a raw footage package has been purchased.

4. Revisions

Each project includes up to 2 rounds of revisions on the final edit. A revision is defined as a consolidated set of feedback provided in one round. Additional revisions beyond this allowance will be charged at £75 per round.

5. Cancellation Policy

The Client may cancel or reschedule the shoot with at least 72 hours’ notice. As all bookings are paid in full upfront, cancellations within 72 hours of the shoot date will result in forfeiture of the full booking fee. If the Agency cancels for any reason, the booking fee will be refunded in full.

6. Client Responsibilities

The Client is responsible for: securing location access permissions, ensuring the presence of required talent or participants at the agreed time, providing a safe working environment, and responding to revision requests within 5 business days to avoid delays.

7. Force Majeure

Neither party will be held liable for failure to perform obligations where such failure results from circumstances beyond reasonable control, including but not limited to severe weather, illness, or venue closure. Both parties will act in good faith to reschedule at the earliest opportunity.

8. Confidentiality

Both parties agree to keep confidential any sensitive business information shared during the course of this engagement and not to disclose it to third parties without prior written consent.

9. Governing Law

This agreement is governed by the laws of England and Wales. Any disputes shall be resolved through good faith negotiation in the first instance, and if unresolved, through the courts of England and Wales.
